At Waugh & Company, we treat each assignment as unique and tailor our efforts to the goals of the client. Our assignments can be as narrowly defined as simply acting as an intermediary and approaching a specific target on behalf of our client. More often, our work involves working with a client to clearly define the strategic requirements of an acquisition and than proactively searching databases and other resources to identify potential targets. A given project can involve hundreds of letters of solicitation followed by scores of discussions before beginning negotiations. At the same time we may circulate a generic description of our specific need to an established circle of merger and acquisition colleagues and associates.

Our efforts can result in a larger pool of potential acquisition targets than otherwise might be the case. As well, we can approach potential candidates and move the process along before having to identify our client, therefore maintaining a higher level of confidentiality.

As your non-emotional, third party intermediary we may keep negotiations proceeding without pushing to the point of jeopardizing the deal. This will often result in better terms of sale.

Using the experience of our advisors and associates as well as our own, we can advise in regard to the proper structure for financing the transaction as well as identify sources. This will result in better terms and lower financing cost.
